Our firm is seeking to recruit a semi-experienced Corporate / Trust Lawyer, to join our friendly Limassol Corporate practice, where we believe in building and maintaining high valued long term relationships with our clients. The ideal candidate will have previous experience in corporate and trust law/ administration for a portfolio of clients. Candidate profile:
- Bachelor’s Degree in law.
- Practical knowledge with the Department of Registrar of Companies in Cyprus.
- Very good knowledge of the AML compliance requirements.
- Very good knowledge of the Companies Law (Cap. 113).
- Very good knowledge of the Cyprus International Trust Law;
- At least 2 years of relevant experience as Corporate / Trust Lawyer.
- Fluent English and Greek language (speaking and writing).
- Ability to multitask and work under pressure.
- Good organizational and time management skills.
Duties & Responsibilities:
- Reviewing and/or drafting of resolutions/minutes/PoAs;
- Preparation of Annual General Meetings;
- Reviewing and/or drafting of Engagement Letters, SPAs, SHAs, Loan agreementsand any other type of agreements requested;
- Drafting of special Memorandum and Articles of Association in accordance with the client’s needs.
- Undertaking the incorporation of companies and Cyprus and abroad;
- Preparation and submission of applications to the Registrar of Companies for changes in the company’s structure;
- Submission of UBOs to the Registrar of Companies;
- Undertaking the set up and liquidation of Trust structures (CITs mostly);
- Reviewing and/or drafting of Trust Deeds, based on clients’ needs, Trustee resolutions, consents, LoW and other;
- Managing the day to day administration of the Trusts;
- Updating CyTBOR;
- Liaising with local authorities, accountants, lawyers.
- Undertaking the opening/operating/closing of accounts with banks and payment institutions in Cyprus and abroad.
- Assisting with certification, apostille and legalization of documents.
- Daily ongoing corporate administration matters.
- Carry out due diligence and KYC procedure for new and existing clients through our KYC software.
- Keeping records, entering and maintaining client information into databases.
- Oversee file management from opening through completion.
- Assisting with legal, administrative and document management support.
- Other ad hoc duties.
